The Website is operated by Pano Technologies Ltd (“Pano”, “we”, “us” or “our”), a company registered in England and Wales (Company No. 12413790), whose registered office is at North West House, 119 Marylebone Road, London NW1 5PU, United Kingdom.

By using the Website you accept these Terms. If you do not agree to them, you must not use the Website.

These Terms apply only to the Website. Access to and use of the Pano platform and related services is governed solely by the separate written agreement between Pano and the relevant customer firm, together with its data processing agreement. These Terms do not form part of, vary or override that agreement. If you access the Pano platform through a link on the Website, your use of the platform is governed by that agreement and not by these Terms.
1.4
Our Website Privacy Policy explains how we use personal data collected through the Website, including through cookies. It is available on the Website.
2.1
The Website is intended for business audiences. We do not represent that the content of the Website is appropriate for, or available in, other locations not operated by us.
2.2
The Website is made available free of charge. We may update, change, suspend or withdraw all or any part of the Website at any time without notice. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted.
2.3
You are responsible for ensuring that anyone who accesses the Website through your internet connection is aware of these Terms and complies with them.

The content of the Website is general information about Pano and its services. It does not constitute financial, investment, tax, legal, regulatory or other professional advice, and it is not an offer to provide services on any particular terms. You must not rely on it as such, and you should obtain professional advice before taking, or refraining from, any action on the basis of it.

Pano is not authorised or regulated by the Financial Conduct Authority and is not responsible for any regulated activities. Pano’s services are tools that support firms, which remain responsible for their own regulatory compliance.
3.3
Descriptions of features, case studies, examples and statistics on the Website are illustrative and may change. The services a customer receives are defined by its written agreement with Pano.
3.4
We make reasonable efforts to keep the Website up to date, but we make no representation or warranty, express or implied, that its content is accurate, complete or current.
4.1
If you submit an enquiry, demonstration request or other information through the Website, you must ensure it is accurate and that you are entitled to provide it. We will use it as described in our Website Privacy Policy.
4.2
You must not submit through the Website any personal data about your clients, any special category personal data, or any confidential client information. We do not need this information to respond to an enquiry.
4.3
Submitting an enquiry does not create a contract between you and Pano. We provide our services only under a separate written agreement.
4.4
If you send us ideas, suggestions or feedback about Pano or the Website, we may use them freely and without any obligation to you.
5.1
Pano or its licensors own all intellectual property rights in the Website and its content, including text, graphics, logos, software, designs and the selection and arrangement of content. All such rights are reserved.
5.2
You may view the Website, and print or download extracts from it, for your own internal business purposes in evaluating Pano and its services. You must not otherwise copy, modify, distribute, republish or commercially exploit any part of the Website, remove any copyright or other notices, or use the Pano name or logo, without our prior written consent.

Third-party names, trade marks and logos referred to on the Website belong to their respective owners. Their appearance on the Website does not imply any endorsement of, or affiliation with, Pano, except where expressly stated.
6.1
You must not:
use the Website in any way that is unlawful or fraudulent, or for any unlawful or fraudulent purpose;
introduce viruses, malware or any other material that is malicious or technologically harmful;
attempt to gain unauthorised access to the Website, the server on which it is hosted, or any server, computer or database connected to it;
attack the Website through a denial-of-service attack or any similar means;
use any robot, scraper, crawler or other automated means to access, copy, extract or index content from the Website, including for the purpose of training or developing artificial intelligence or machine learning systems, without our prior written consent, other than through standard search engine indexing;
frame or mirror any part of the Website;
use the Website’s contact forms to send unsolicited marketing or spam; or

If you breach this Section 6, we may suspend or block your access to the Website and, where appropriate, report the breach to the relevant authorities.

You may link to the Website’s home page, provided you do so in a way that is fair and lawful and does not damage our reputation or take advantage of it. You must not suggest any form of association, approval or endorsement on our part where none exists. We may withdraw this permission at any time.
We do not guarantee that the Website will be secure or free from bugs or viruses. You are responsible for configuring your own technology to access the Website and for using your own virus protection software.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.

If you use the Website in the course of a business: to the fullest extent permitted by law, we exclude all conditions, warranties, representations and other terms which may apply to the Website or its content, whether express or implied. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with your use of, or inability to use, the Website, or your use of or reliance on any content on it. If you use the Website as a consumer: the Website is provided for business purposes and, if you use it for private purposes, we are not liable to you for any business losses. We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill, but not for loss or damage that is not foreseeable. Nothing in these Terms affects your statutory rights.

Our liability in connection with the Pano platform and related services is governed solely by the applicable written agreement with the customer firm.
We may revise these Terms at any time by updating this page. The current version is identified by the “Last Updated” date at the top. Please check this page each time you use the Website, as the version in force at that time will apply to you.
11.1
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
11.2
If we do not insist on you performing any of your obligations under these Terms, or delay in doing so, that will not mean we have waived our rights.
11.3
No person other than you and Pano has any right to enforce any of these Terms under the Contracts (Rights of Third Parties) Act 1999.
12.1
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Website, are governed by the law of England and Wales.
12.2
If you use the Website in the course of a business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may bring proceedings in the courts of England and Wales, or, if you live in Scotland or Northern Ireland, in the courts of the country where you live.
